Ooredoo hosts EGM 2019, amends corporate charter

Telecommunications giant Ooredoo Maldives, on Monday, hosted its extraordinary general meeting (EGM) at Hotel Jen in the capital city of Male'.

A total of 91 shareholders participated in the EGM, out of which 59 were physically present and 32 voted by proxy. Collectively, the attendees possessed 136,542,861 shares which represents 92.4 percent of the shares sold by Ooredoo Maldives.

The purpose of convening the EGM was to approve amendments to the company's corporate charter and articles of association.

Defining the role of the board director chosen to represent ordinary shareholders was among the suggested amendments. Also included were amendments to ensure cohesiveness between the company's aims and its operations as well as to promote convenient understanding by shareholders.

Under the rights granted to the chairman under article 75 of the articles of association, a poll vote was taken regarding the amendments. Each shareholder was granted votes equivalent to the number of shares registered under their name.

The results of the poll vote are as follows:

- Percentage of shareholders that approved amendments to the corporate charter: 92.382 percent (136,541,650)

- Percentage of shareholders that approved amendments to the articles of association: 92.382 percent (136,541,650)

- Percentage of shareholders that approved amending both the corporate charter and articles of association in the manner collectively agreed upon by shareholders: 92.382 percent (136,541,650)

Ooredoo Maldives expressed gratitude to its shareholders for participating in the EGM, asserting that the company remained committed to working for their benefit as well as protecting their rights.
